Governance Manager
Main Purpose of the Job
To implement, embed, and continuously improve the Group’s Enterprise Risk Management (ERM), Governance, and Insurance frameworks at a country level. This role ensures effective identification, evaluation, mitigation, and reporting of key risks; ensures policy compliance and governance alignment with Botswana legislation and THB standards; and manages the country’s insurance portfolio to safeguard people, assets, and operations. The role plays a critical part in aligning local risk, insurance, and governance practices with Group standards while ensuring they are fit-for-purpose in the country’s regulatory and business context.
Key Performance Areas
Enterprise Risk Management
· Implement and embed the Group ERM framework, policies, and tools at country level.· Facilitate regular risk identification and assessment workshops with leadership, project teams, and departments.· Maintain and update the Country Risk Register and Risk Dashboards.· Define and monitor risk appetite and tolerance levels in consultation with stakeholders.· Develop, implement, and track Risk Improvement Plans (RIPs) for key operational, strategic, and compliance risks.· Support the Combined Assurance process by contributing country-specific insights.· Coordinate risk reporting for Group submissions and participate in the Group Risk network.
Insurance Management
· Manage the operational aspects of the insurance programme in line with Group strategy.· Ensure appropriate coverage across business risks: property, liability, motor, machinery breakdown, goods-in-transit, people-related.· Coordinate declarations, policy endorsements, and premium allocations.· Lead/support claims processes, including incident documentation and liaison with brokers/loss adjusters.· Escalate uninsured exposures or emerging risks.· Support insurance awareness and training initiatives.
Governance and Policy Administration
· Ensure compliance with corporate governance and statutory requirements.· Maintain and review the company’s policy framework, ensuring alignment with Botswana legislation and Group standards.· Ensure timely updating and communication of policies and procedures.· Conduct regular reviews of governance processes, recommend and implement improvements.· Advise management on governance issues and emerging compliance obligations.· Support audits and certification efforts, including ISO 14001, 45001, 22000, and Business Continuity Planning.· Maintain archived governance records for audit and compliance purposes.
Contract and Company Secretarial Oversight
· Oversee filing, control, and management of contracts and trading terms.· Ensure contracts are up-to-date, correctly signed, and tracked for renewal timelines.· Conduct periodic reviews to ensure contractual compliance.· Alert management to areas of non-conformance and supports corrective actions.· Support company secretarial compliance and statutory administration as required.
Risk Culture and Communication
· Champion a risk-aware culture through awareness sessions and targeted training.· Provide advisory support to departments and project teams on risk and governance.· Integrate risk and insurance into procurement, capital projects, and safety initiatives.
Financial parameters
· Monitor and manage the country’s insurance-related costs and claims recoveries.· Contribute to the development of the risk and insurance budget, including premiums and risk mitigation investments.
Compliance and Governance Reporting
· Monitor compliance with local regulations and internal Group risk and insurance policies.· Present risk, governance, and insurance reports to the Country Exco; contribute to Board reporting.· Support incident/crisis response and ensure lessons learned are documented and communicated.
Competences
· Enterprise Risk Management and Combined Assurance frameworks.· Governance and policy management.· Insurance structures, claims processes, and broker engagement.· Contract and document control.· Risk and assurance reporting tools.· Familiarity with ISO standards and King IV.Financial literacy (risk financing, budgeting).
Qualifications
· Bachelor’s Degree in Risk Management, Business, Finance or related field.· Preferred: Postgraduate qualification or certification in Risk, Insurance, or Compliance (e.g., IRMSA, IIA, IISA).
Experience
